Section 1 – Membership Overview

Membership Tier Names & Descriptions

1. Neighbors $75 per month, no commitment, . 2. Friend $129 per month, quarterly commitment, $169 per month with no commitment. 3. Family $239 per month, quarterly commintment. 4 Legacy $379 per month with an annual commitment.

Membership Term

All memberships automatically renew at the conclusion of the applicable term (monthly, quarterly, or annually) unless the Member provides written notice of cancellation in accordance with Section 5. Renewal will occur at the then-current membership rate unless otherwise agreed in writing. Memberships are personal to the Member and non-transferable unless expressly authorized in writing by the Club.

Initiation & Other Fees

The Neighbors tier has a non-refundable $75 initiation fee due at the time of application. Initiation fees are separate from recurring membership dues and are not credited toward future payments.

Section 2 – Benefits & Access

1. Neighbor​ Barber Services: 15% off. Food and Beverage: $25 per month food and beverage credit until 4pm daily, excludes (h)ours, after (h)ours, out of office and event. Priority Access and Reservations: Based on Availability. Retail: 15% off, exclusion may apply. Loyalty Gift: None. Private Lounge Bookings: No discount. Programming and Special Events: 2 discounted tickets per month, no roll over. Sharable Member Benefits: None. Extras: None 2. Friend Barber Services: 15% off, Complementary 10-Day clean up, a. Eligible after completion of standard or supreme service, does not guarntee barber used for previous service is scheduled or availble within the 10 day time frame. Food and Beverage: $75 per month food and beverage credit until 7pm daily in the cafe, and (h)ours, excludes out of office, after (h)ours, and events. Priority Access and Reservations: Based on Availability. Retail: 15% off, exclusion may apply. Loyalty Gift: None. Private Lounge Bookings: Discounted Rate, subject to availability. Retail: 25% off after retail stipend is exhausted, exclusion may apply. Loyalty Gift: $250 annual retail stipend. Private Lounge Bookings: Discounted Rate, subject to availability. Programming and Special Events: 2 discounted tickets and 2 complimentary tickets per month, no roll over. Eligible after completion of standard or supreme service, does not guarantee a specific barber. Food and Beverage: $250 per month food and beverage credit used daily at anytime in the cafe, out of office, (h)ours, after (h)ours and events. After credits are exhausted 35% off food and beverage in the same spaces your credits were applicable. Priority Access and Reservations: Guaranteed up to 24 hours in advance. Retail: 35% off after retail stipend is exhausted, exclusion may apply. Loyalty Gift: $500 annual retail stipend. Private Lounge Bookings: Discounted Rate, subject to availability. Programming and Special Events: 4 complimentary tickets per month, no roll over. Sharable Member Benefits: • Annual companion option w/ shareable benefits, eligible with annual committment. Restrictions

To ensure the quality of the member experience and accommodate special programming, certain dates may be designated as Blackout Dates, during which specific benefits or access may be limited or unavailable. Major public holidays and high-demand event days Private, ticketed, or partner-hosted events where capacity is restricted.Maintenance or renovation periods for specific spaces (with advance notice provided).

Section 3 – Application & Approval

Eligibility

Neighbor, Friend, and Family Tiers – Open application; subject to completion of membership form and payment of applicable initiation fees (if any). Legacy Tier – Requires a formal application and approval by the manangement. The Club reserves the right to deny any application at its sole discretion.

Approval Process

Prospective members must complete a membership application form, provide any requested supporting documentation, and submit payment details for initiation fees and membership dues. Approval is granted at the sole discretion of the Club

Waitlist Policy

In the event membership capacity is reached, approved applicants may be placed on a waitlist until space becomes available.

Section 4 – Payments & Billing

Payment Methods

Accepted payment methods include major credit cards and ACH transfers. Members must keep a valid payment method on file at all times.

Billing Cycle

Membership dues are billed in advance according to the payment frequency of the selected tier: monthly memberships are billed every month on the same calendar date; annual memberships are billed once per year on the date of activation or renewal. Initiation fees are billed in full at the time of joining and are non-refundable.

Refund Policy

Members who resign voluntarily during a paid term will not receive a refund for unused portions of that term, except where required by law. Monthly members may cancel with 30 days’ written notice.Annual memberships are non-refundable except as required by law.

Late Payment Consequences

If payment is not successfully processed by the due date, the Member will be notified and access to the Club may be suspended until payment is received. The Club reserves the right to terminate membership for accounts more than 30 days past due.

Section 5 – Cancellation, Suspension & Termination

Member-Initiated Cancellation

Members may cancel their membership by providing written notice before the start of the next billing cycle. Membership will remain active until the last day of the current billing cycle, after which it will automatically terminate. No prorated refunds are issued for partial cycles.

Suspension/Freeze

The Club may, at its discretion, allow a temporary suspension of membership for medical or extended travel reasons. Suspension requests must be submitted in writing and approved by management.

Club-Initiated Termination

The Club may terminate membership for non-payment, violations of the Code of Conduct, or conduct deemed detrimental to the Club’s reputation, safety, or operations.

Refunds Upon Termination

Section 6 – Code of Conduct

Expected Behavior

Members and their guests are expected to uphold the values of Manifest by treating all staff, fellow members, and guests with courtesy, dignity, and respect. Disrespectful, aggressive, or discriminatory behavior will not be tolerated. Members must comply with all posted guidelines and staff instructions while on the premises. Conversations and conduct should contribute to a welcoming and inclusive atmosphere. Members are responsible for the conduct of their guests at all times. Any breach of the Code of Conduct by a guest will be treated as a breach by the member.The following are grounds for immediate suspension or termination of membership: Harassment, discrimination, or hate speech of any kind. Damage to Club property or theft. Use or possession of illegal substances on the premises. Engaging in any activity that compromises the safety, comfort, or reputation of Manifest.

Dress Code

No dress code applies unless otherwise stated for specific events or areas; however, clothing is required at all times while on Club premises.

Privacy Rules

Manifest is a space for open conversation and connection. To protect the privacy of all members:Photography and video recording within the premises should be discreet and respectful; permission must be obtained before capturing images of others.Sharing of another member’s personal information, conversations, or activities outside the Club without their consent is strictly prohibited.Commercial filming or photography is only permitted with prior written approval.

Penalties for Violations

Violations will be reviewed by management and may result in a verbal warning, written warning, temporary suspension, or termination of membership. Membership fees are non-refundable in cases of termination due to a Code of Conduct breach.

Section 7 – Guest Policy

Number of Guests Allowed

Guest access allowances vary by membership tier as outlined in the Member’s benefits.

Guest Fees

The Club reserves the right to charge guest fees or limit the number of guests per visit, particularly on high-demand dates or during special events. The Club retains sole discretion to refuse guest entry or revoke guest privileges at any time in order to protect the safety, comfort, and enjoyment of members.

Accompaniment Requirement

Members are not required to accompany guest. Guests are permitted to access Club spaces and attend reservations with the Member, but guests are not entitled to member discount benefits on services, food & beverage, or retail purchases.Members are fully responsible for the conduct of their guests, including compliance with the Club’s Code of Conduct and any applicable rules.

Section 8 – Events & Reservations

Booking Process

Members may make reservations through the Club’s official website via mobile or desktop, through the Manifest mobile app, by telephone, or in person at the Club. Certain events may be designated as “members only,” during which guest access will not be permitted. Such designations will be communicated in advance through official Club channels.

Cancellation Policy

Reservations for services, dining, or events must be cancelled at least 24 hours in advance to avoid penalty.

Section 9 – Liability & Indemnity

Liability Waiver

Members and their guests voluntarily assume all risks associated with the use of the Club’s facilities, services, and amenities. The Club shall not be liable for any injury, accident, illness, loss, theft, or damage to personal property occurring on the premises, except where prohibited by applicable law.The Club is not responsible for the actions or services provided by third-party vendors, partners, or contractors engaged by the Member, whether on or off Club premises.

Indemnity

Members agree to indemnify, defend, and hold harmless Manifest, its owners, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney’s fees) arising from 1.The Member’s use of the Club’s facilities or participation in Club activities. 2. The acts or omissions of the Member’s guests.

Section 10 – Privacy & Data Use

Data Collected

Manifest respects and values the privacy of its members. All personal information collected is handled with the highest level of confidentiality and used solely for the purpose of delivering and enhancing the membership experience. In the course of membership, Manifest may collect and store: Contact details (name, address, phone number, email). Payment and billing information. Date of birth and identity verification documents (where applicable). Membership usage history, reservation records, and purchase history. Photographs or video images taken during Club events or within Club premises

Marketing Communications

Members may receive newsletters, event invitations, or promotional communications via email, SMS, or other channels. Members may opt out of marketing communications at any time by following the unsubscribe instructions or contacting the membership team.

Third-Party Sharing

Member data will not be sold to third parties.Limited data may be shared with trusted partners and service providers when necessary to deliver membership benefits (e.g., ticketing platforms, event partners), subject to confidentiality agreements.

Section 11 – Changes to Terms

Amendment Rights

Manifest reserves the right to modify, amend, or update these Terms & Conditions, including membership benefits, rules, and fees, at any time in order to maintain the quality, safety, and sustainability of the Club.

Notice Period

Any material change — such as adjustments to pricing, core benefits, or key policies — will be communicated to members at least 30 days in advance of the effective date. Minor adjustments, operational clarifications, or updates required by law may take effect immediately upon posting within the Member Portal or Club premises. Continued use of membership benefits after changes take effect constitutes acceptance of the updated Terms & Conditions. Members who do not accept the changes may terminate their membership in accordance with the Club’s cancellation policy.

Section 12 – Governing Law & Dispute Resolution

Jurisdiction

These Terms & Conditions, and any disputes arising out of or relating to them, shall be governed by and construed in accordance with the laws of the District of Columbia and Maryland, without regard to its conflict of laws principles.

Dispute Resolution

Manifest believes in resolving matters respectfully and in good faith. Members are encouraged to first raise any concerns with Club management to seek an amicable solution. If a resolution cannot be reached informally, disputes shall be submitted to confidential mediation, conducted in Washington, D.C., before a mutually agreed-upon mediator.If mediation is unsuccessful, the dispute shall be resolved by binding arbitration in Washington, D.C., administered by the American Arbitration Association (AAA) under its applicable rules. The arbitrator’s decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing in this section shall prevent Manifest from seeking injunctive or equitable relief in court for matters involving the protection of its intellectual property, confidential information, or safety of its members and staff.
